Terms of Service

These Terms of Service ("Terms") govern your access to and use of Song Studio (the "Service"), available at music.asd-israel.co.il. The Service is operated by Song Studio (operated by the site owner) ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Song Studio is a web application that uses artificial intelligence to help you generate songs, including lyrics and audio, from prompts and ideas you provide. Access is currently invite-only and authenticated via magic-link email sign-in.

2. Eligibility & accounts

• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
• You are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us promptly of any unauthorized use.
• You agree to provide accurate information and to keep it up to date.

3. Credits & subscriptions

The Service operates on a credit system: creating a song consumes 5 credits and generating cover art consumes 1 credit. Credits may be included with a paid subscription plan, or purchased separately. Song credits are consumed when audio generation begins; if generation fails on our side, the credits are automatically refunded to your balance.

Subscriptions renew automatically each billing period until cancelled. You may cancel at any time, and cancellation takes effect at the end of the current billing period. Credits and pricing are described at the point of purchase.

4. Payments and Merchant of Record

All purchases and subscriptions are sold and processed by our reseller and Merchant of Record, Paddle.com Market Ltd ("Paddle"). Paddle handles payment processing, billing, tax collection, and related customer-service inquiries. Your purchase is therefore also subject to Paddle's buyer terms and policies. We do not store your full payment-card details.

5. Your content and ownership

• Your inputs. You retain ownership of the prompts, ideas, and other material you submit. You represent that you have the rights necessary to submit them and that they do not infringe any third party's rights.
• Generated output. Subject to your compliance with these Terms and payment of applicable fees, you own the songs you generate and may use them for personal or commercial purposes. Because AI output can be unpredictable, we make no guarantee that output is unique or free of similarity to existing works, and you are responsible for how you use it.

6. Acceptable use

You agree not to use the Service to:

• Create content that is unlawful, infringing, defamatory, hateful, or that promotes violence;
• Impersonate any person or create output designed to deceive (including unauthorized voice or likeness cloning);
• Violate the intellectual-property or privacy rights of others;
• Reverse engineer, scrape, overload, or disrupt the Service or its underlying infrastructure;
• Resell or redistribute access to the Service without our written permission.

We may suspend or terminate accounts that violate these Terms.

7. Third-party services

The Service relies on third-party providers for authentication, hosting, AI generation, and payments (including Supabase, our AI generation provider, and Paddle). Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts or omissions.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated output will meet your expectations.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated where practical, and your continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the competent courts located there.
